Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (individually, or on behalf of an entity, "you") and Dataforges, Inc. ("Dataforges," "we," "us," or "our") governing your access to and use of the Dataforges platform, website at dataforges.io, and all associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Dataforges platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case the terms "you" and "your" will refer to that entity.

2. Description of Service

Dataforges provides an AI-powered business intelligence and analytics platform that connects to enterprise data sources, processes business data, and delivers actionable insights, predictive analytics, forecasting, and executive reporting. The specific features and capabilities available to you depend on your subscription plan.

3. Account Registration and Security

To access the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information as necessary
  • Keep your login credentials secure and confidential at all times
  • Notify us immediately at security@dataforges.io of any unauthorized account access
  • Accept responsibility for all activities occurring under your account
  • Be at least 18 years old or the legal age of majority in your jurisdiction

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

4. Subscription Plans and Payment

Access to Dataforges requires an active paid subscription. By purchasing a subscription:

  • You authorize Dataforges to charge your payment method on a recurring basis at the selected billing frequency (monthly or annual)
  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • All fees are quoted in USD and are exclusive of applicable taxes
  • You are responsible for all applicable taxes in your jurisdiction
  • We reserve the right to modify pricing with 30 days advance notice to existing subscribers
  • Failure to pay may result in suspension or termination of your account

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You agree NOT to:

  • Use the Service to violate any applicable law, regulation, or third-party rights
  • Attempt to reverse engineer, decompile, or extract the source code of the Service or its AI models
  • Use the Service to build competing products or services
  • Upload, transmit, or distribute malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Use automated tools to scrape, crawl, or extract data from the Service without authorization
  • Resell, sublicense, or transfer your subscription without prior written consent
  • Exceed usage limits specified in your subscription plan
  • Use the Service to process data that infringes third-party intellectual property rights

6. Data and Intellectual Property

Your Data:You retain full ownership of all data you submit to the Service ("Customer Data"). By submitting Customer Data, you grant Dataforges a limited, non-exclusive, worldwide license to process your data solely for the purpose of delivering the Service to you. We do not use your Customer Data to train models for other customers or for any purpose other than providing the Service.

Our Intellectual Property: Dataforges and its licensors retain all rights, title, and interest in and to the Service, including all software, algorithms, AI models, user interfaces, visual designs, documentation, and all related intellectual property. You are granted a limited, non-exclusive, non-transferable license to access and use the Service during your subscription period, solely for your internal business purposes.

7. Confidentiality

Both parties agree to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties except as required to fulfill obligations under these Terms or as required by law. Dataforges will treat all Customer Data as confidential and implement appropriate technical and organizational measures to protect it.

8. Service Level Agreement

Dataforges targets 99.9% monthly uptime for the platform (excluding scheduled maintenance windows, which will be communicated in advance). In the event of downtime below this target, eligible customers on paid plans may receive service credits as described in the applicable SLA documentation. Enterprise plan customers receive contractually guaranteed uptime SLAs.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DATAFORGES DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED INSIGHTS. DATAFORGES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL ANALYTICAL OUTPUTS WILL BE CORRECT IN ALL CIRCUMSTANCES. YOU BEAR SOLE RESPONSIBILITY FOR DECISIONS MADE BASED ON SERVICE OUTPUTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATAFORGES'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM. IN NO EVENT SHALL DATAFORGES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF DATAFORGES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dataforges and its officers, directors, employees, partners, and licensors from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) any Customer Data you submit to the Service.

12. Termination

Either party may terminate the subscription at the end of the current billing period by providing written notice. Dataforges may terminate or immediately suspend your account for material breach of these Terms, non-payment after notice, or violation of applicable laws. Upon termination: (a) your access to the Service ceases; (b) you may export your Customer Data within 30 days; (c) Dataforges will delete your Customer Data after the export window. All provisions that by their nature should survive termination will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with material changes, you may terminate your subscription before the changes take effect.
